COMMERCIAL TERMS OF THE NEXA LEVEL X PLATFORM

NEXA LEVEL X is a platform that connects investors with top-tier and elite traders in the commodities, cryptocurrencies, currency pairs (FOREX), equities, stock indices, and other markets.

The NEXA LEVEL X platform is available continuously, 24/7, in order to ensure uninterrupted receipt of traders’ signals by investors.

NEXA LEVEL X provides a space in which a potential investor can follow the performance of the various traders registered on the platform, who offer their services to potential investors.

Traders from all over the world are registered on the platform. Their investment actions can be followed by investors directly on NEXA LEVEL X, which intermediates the information provided by traders and the representation of each investment step and its results, and serves to connect the investor with the trader so that the investor may participate in the investment processes and results of such traders.

The services of each trader are services of independent entities; the platform acts exclusively as a service for the exposure/presentation of traders and their investment decisions and results (ongoing or for defined periods), and as a means of connection between traders and potential investors through NEXA LEVEL X, who retain the freedom to enter into an individual commercial relationship.

NEXA LEVEL X is not responsible for the investor’s choice of trader, nor for the decision to entrust funds to such trader for investment. NEXA LEVEL X is solely a connection tool between elite traders and investors, who subsequently formalize a separate commercial relationship independent of NEXA LEVEL X. The platform assumes no responsibility for such individual relationship, as it is not a direct party to it nor a guarantor of the trader, their actions, or their results.

NEXA LEVEL X charges fees exclusively to traders for its services; therefore, investors are not subject to additional costs or commissions for the use of the platform.

INVESTMENT RISK DISCLOSURE

Although NEXA LEVEL X is a meeting point between traders and investors, who may subsequently enter into individual contracts, we consider it our obligation to warn (also on behalf of the traders) about certain aspects of investment risk inherent in any investment. This Disclosure constitutes a general notice for the use of trading services (investment in financial instruments). For additional inquiries, you should contact each trader.

The purpose of this Disclosure is to inform the potential investor (also referred to herein as the “client,” i.e., client of the trader presented on the platform) of the most relevant risks (not all) associated with trading financial instruments (services provided by independent traders, not verified by the NEXA LEVEL X platform).

The various types of risks described apply to retail and professional clients, as well as to other authorized parties.

This Disclosure forms an integral part of the (commercial) terms and conditions for the provision of services of the company operating NEXA LEVEL X, which—when provided to a client—consist of the execution of buy/sell orders for property rights and securities, the maintenance of securities accounts, the management of property rights and cash accounts.

Digital assets may present unique characteristics that make them more or less prone to value fluctuations.

The risks associated with investing in CFDs can be significant and the value of your investments may fluctuate. 71% of retail client accounts lose money when trading CFDs. CFDs are complex instruments and carry a high risk of losing money rapidly due to leverage. You should consider whether you understand how this product works and whether you can afford to take the high risk of losing your money.

The traders registered on NEXA LEVEL X, upon commencing their activity on the platform, declared that they hold a license to carry out investment activity and digital asset activities issued by the Cayman Islands Monetary Authority. The accounts in which funds are deposited for investment purposes are under the exclusive management of the traders.

NEXA LEVEL X does not provide advice on the suitability of specific transactions, trading risks, or tax consequences, nor any other financial, investment, tax, or legal advice in relation to the services. No communication or document, regardless of its nature, should be interpreted as advice. All traders and all investors who act and communicate through the platform do so at their own risk.

Any decision to use the services and trade is your independent decision as an investor. NEXA LEVEL X shall not be responsible for any loss suffered by you or by third parties through the use of the services. By using the platform, you accept the risks of trading.

By entering into any transaction on the platform, you represent and warrant that you have been, are, and will be solely responsible for your own evaluation and investigation of the risks of such transaction and of the underlying asset. You declare that you have sufficient knowledge, market insight, professional advice, and experience to independently evaluate the merits and risks of any transaction entered into on the platform.

Factors beyond the platform’s control—such as regulatory activity or price volatility—may affect the market liquidity of a given asset.

Digital Assets

Understanding digital assets requires advanced technical knowledge. Transactions involving digital assets may not be reversible. Once you send digital assets to an address, you accept the risk of permanently losing access. Blockchain networks may become unavailable due to errors, software developments, or other unforeseeable causes.

The supply and value of digital assets may depend on the continued willingness of market participants to exchange them for fiat or other digital assets, which may result in a total and permanent loss of value if the market for the asset disappears. Value may also be affected by speculation (including misinformation or government policies) or by unlawful online conduct (e.g., hacking). You acknowledge and agree that assets and/or services available in one jurisdiction may not be available for trading, use, or access in another.

Complexity of Financial Products

You should exercise extreme caution when trading complex products (e.g., options and futures) and do so only if you understand how they work, including—among others—the risks of margin, leverage, short selling, and the effects of volatility on leveraged products. Trading complex products involves significant risk and you may experience immediate losses.

Trading complex products requires initial margins. If market movements reduce the value of your position, additional margin may be required to meet maintenance margin. If your account does not meet minimum requirements, your position may be liquidated at a loss, and you may lose all assets in your account. If additional deficits arise, you will be responsible for them unless the terms provide otherwise.

USERS WHO DO NOT UNDERSTAND LEVERAGE OR MARGIN, OR WHO DO NOT INTEND TO ACTIVELY MANAGE THEIR PORTFOLIO, SHOULD NOT TRADE COMPLEX PRODUCTS. THE PLATFORM AND ITS POSSIBLE AFFILIATES ASSUME NO RESPONSIBILITY FOR LOSSES OR DAMAGES ARISING FROM THE USE OF COMPLEX PRODUCT TRADING SERVICES OFFERED ON THE PLATFORM OR FROM A LACK OF UNDERSTANDING OF THE RISKS.

Blacklisted Addresses and Seized Assets

NEXA LEVEL X reserves the right to “blacklist” certain groups of persons and/or addresses and/or accounts, and to freeze associated assets (temporarily or permanently), only where the platform has the ability to act on them, if in its sole discretion they are linked to illegal activity or activity that violates the Terms (the “blacklisted addresses”). If you send or receive assets from a blacklisted address, the platform may freeze such assets and proceed to close your account. In certain cases, the platform may report suspicious activity to competent authorities and to the relevant traders, and you may lose rights to your assets, including the ability to redeem or convert them into other assets or fiat currency. NEXA LEVEL X may also freeze assets in your account—where possible—if it receives an order or request from a legal or regulatory authority.

Third-Party Services

The use of services and the value of certain digital assets may depend on third parties or on third parties fulfilling their obligations. The platform is not responsible for the acts or omissions of such third parties.

NEXA LEVEL X is not responsible for the improper execution of third-party services (e.g., trader, custodian, broker, or partner, and/or their personnel). This applies especially—though not exclusively—to custody and brokerage services.

Derivatives Market Risk

Positions in derivatives may be affected by sudden and adverse changes in trading and prices. Under certain conditions it may be difficult or impossible to hedge the risk of loss on open positions, as you may be unable to enter transactions, post margin, or liquidate positions without significant losses. Contingent orders such as stop-loss or stop-limit, if permitted, do not guarantee limiting losses to the specified amount, and market conditions may prevent their execution or reaching the stop price. In certain circumstances, derivatives may trade at prices not correlated with the reference asset. NEXA LEVEL X makes no representations or warranties regarding the continuity of trading of any derivative; any derivative may be delisted without prior notice or consent.

Technological and Cyber Risks

The software protocols and operational challenges underlying digital assets are often open-source or managed by third parties; therefore: (i) their operation, functions, development, and control are outside the platform’s scope; and (ii) such protocols are subject to sudden changes with a material impact on the availability, usability, or value of the asset. You accept the operational risk that may affect the Services. NEXA LEVEL X may experience sophisticated cyberattacks, unforeseen surges in activity, or other difficulties that cause interruptions. You understand that delays may occur.

You also accept the risk of transaction failures due to unforeseen or intensified technical difficulties, including those arising from advanced attacks, and agree not to hold the platform responsible for related losses. The underlying technology of digital assets may change at any time, affecting stored assets. Users operate at their own risk, and NEXA LEVEL X assumes no responsibility for losses arising from the use of the Services.

The investor understands that maintenance (software and/or hardware) may occur, causing temporary unavailability, delays or cancellations of unprocessed orders, or the inability to place new orders or modify existing ones (in relation to traders).

Conditions for the Provision of Services

NEXA LEVEL X charges commissions on trades and therefore benefits from trading activity (volume), regardless of whether trading is profitable for the investor. Commission costs are borne by traders and may subsequently be passed on through the amount effectively invested or through payments to the investor. The investor acknowledges and accepts that traders may deduct their activity costs from investors’ funds.

The investor acknowledges that traders may have actual or potential conflicts of interest when deciding whether to admit or not admit a digital token or when expanding or reducing the scope of services available for such token. Traders may trade on their own account or on behalf of third parties in peer-to-peer markets and use other services. NEXA LEVEL X has no obligation to act on your behalf and assumes no responsibility in this regard.

Compliance with applicable laws. It is the investors’ responsibility to comply with local laws related to the lawful use of the platform’s services in their jurisdiction, as well as other applicable laws and regulations. Investors assume full responsibility for taxes, withholdings, collection, reporting, and payment to competent authorities.

ALL USERS of NEXA LEVEL X DECLARE that their funds originate from lawful sources and not from illegal activities; and agree to provide, upon request, all information and documentation required by laws or governmental orders to verify the legality of the origin and use of their funds.

NEXA LEVEL X maintains a cooperative stance with authorities worldwide and will not hesitate to retain, freeze, or close investor accounts subject to legal mandates or investigations.

Other Risks

Digital assets available/deposited on the platform (if such service is available) or with the relevant trader may not be issued by financial institutions or other legal entities.

• The digital asset market is new, uncertain, and may not grow.
• Digital assets are highly speculative and less established than other asset classes.
• They are volatile and trade continuously, without limits on price fluctuations.
• Trading digital assets may result in partial or total loss of capital.
• Actions by third parties (market makers, governments) may have a significant impact.
• Trading digital assets is not suitable for the vast majority of people.
• Although we strive to comply with all regulations, we may not be regulated in all jurisdictions in which we operate.
• Other unforeseeable or consequential risks may exist beyond those mentioned.

Consider your financial situation before using the Services and, if necessary, seek independent legal, financial, tax, accounting, or other advice.

CFD-SPECIFIC INVESTMENT RISK

Investing in CFDs (Contracts for Difference) involves high risk and is not suitable for all investors. Before investing, consider the following:

A CFD is a derivative that allows you to benefit from price changes of an underlying asset. It is a contract between two parties to settle the difference between the opening and closing prices based on the underlying (shares, bonds, indices, interest rates, commodities, currencies, or cryptocurrencies).

When trading CFDs, you invest in a derivative based on prices of currencies, cryptocurrencies, futures, or shares. You do not trade the underlying directly and, due to leverage, you can control large positions with a small amount of capital.

Before deciding to invest in CFDs, carefully evaluate your objectives, experience, and ability to assume risk. If in doubt, consult an independent financial advisor.

Leverage
Leverage amplifies gains and losses. A small adverse movement can cause significant losses, even exceeding your initial deposit. Monitor your positions and do not invest money you cannot afford to lose.

Market Volatility
CFDs are often traded in volatile markets. Sudden changes due to economic or political events can generate significant losses or gains. Gap risk (price jumps) may result in executions at worse prices than expected.

Liquidity Risk
You may not be able to sell/buy at the desired price or may be forced to do so at additional cost due to lack of liquidity in the underlying, which may generate losses.

Counterparty Risk
CFDs are traded OTC with your broker/trader (registered and presented on the platform). Risks include:

• Broker insolvency or financial difficulties → loss of funds.
• Lack of liquidity → affects withdrawals and execution.

Tax Risk
Gains and losses on CFDs may be subject to taxes. Consult a specialist. NEXA LEVEL X does not provide tax advice.

Capital Protection
CFDs are not suitable for capital protection. They are high risk.

Regulatory Risk
The legal and regulatory environment for CFDs varies by jurisdiction and may affect your investments and trading.

Currency Risk
Real-time conversion to your account currency may affect results.

Political and Legal Risk
Political/legal events may impact CFD instruments, reduce liquidity, or prevent position closures.

EQUITY INVESTMENT RISK

Shares are securities that grant corporate and economic rights (attendance at meetings, dividends, liquidation, etc.). They are traded in dematerialized form on organized markets and may be subject to high short- and long-term volatility, potentially causing partial or, in extreme cases (e.g., insolvency), total losses.

Main risks (shares and ETFs):

• Price volatility.
• Liquidity: difficulty buying/selling without affecting prices.
• Political and legal risk: regulatory changes affecting issuers.

Volatility factors include financial results, market capitalization, free float, sector risks, and local/global market risks. In foreign markets, there are additional currency risks, access to information issues, and different legal frameworks.

Gaps and execution: opening gaps may cause executions at prices very different from those expected.

ETF INVESTMENT RISK

An ETF (Exchange Traded Fund) is a listed fund that replicates the performance of an index and allows daily creation/redemption of units. ETF risk is affected by the volatility of the reference index instruments and by macroeconomic conditions (inflation, GDP, employment, interest rates, currency, etc.).

Specific risks:

• Fund liquidation.
• Change in investment policy.
• Delisting.
• Liquidity (impact when buying/selling).
• Currency risk if the ETF or its trading currency differs from your account currency.

Tax risk: the investor’s country regulations may affect net returns.

Gaps and execution: as with shares, executions at unexpected prices may occur.

Force Majeure Risk
The investor acknowledges that, in the event of force majeure or other events beyond the operator’s control, order execution may be completely impossible.

By accepting this Disclosure and using the services, you declare that:

• You are aware of investment risk and its financial consequences when trading instruments whose prices may depend on securities, currencies, precious metals and other commodities, indices, and other underlyings.
• You are fully aware of the possibility of significant losses, even from small changes in the underlying; risk increases with higher leverage.
• You accept the risk of losses (risk-free profits are impossible).
• You are aware that NEXA LEVEL X is not regulated within the European Union nor supervised by any European authority.
• Your financial situation is stable and allows you to invest.
• All orders are independent decisions based on your own judgment.
• You acknowledge that NEXA LEVEL X is not a contractual party to the execution of investments and is not responsible for content presented by traders.
• You acknowledge that NEXA LEVEL X does not guarantee profits and does not provide investment advice.
• You release NEXA LEVEL X from liability for losses arising from transactions executed according to your orders, entered into by your free and informed decision.
